Please read the Terms of Use carefully before you start to use the Services. By using the Website and/or the Plada mobile application, you accept and agree to be bound and abide by these Terms of Use and our Privacy Policy, found at www.plada.app, incorporated herein by reference. If you do not want to agree to these Terms of Use or the Privacy Policy, you must not access or use the Services.

Welcome to Plada, operated by Plada ("We" or "Plada"). Thank you for accessing our products and services (together, the "Services") for your personal and non-commercial use.

The Services are provided to Users ("You" or "User") by Plada and its founders subject to the following Terms of Use. Plada reserves the right, at any time and without formal Notice to the Users, to update these Terms of Use.

1. Acceptance of Terms of Use by Users

Actions undertaken by Users to interact with the Services are understood to express (1) awareness by the Users as to these Terms of Use; and (2) acceptance by Users of these Terms of Use. Actions undertaken by Users to interact with the Services include, but are not limited to:

• Accessing the Services with any electronic device.
• Downloading and/or installing the Services, or any component thereof, on any electronic device, whether via the Plada Website/Plada Applications, or via any application exchange provider or digital content distribution service, e.g., the Google Play Store, the App Store or the like.
• Exchanging data with others via the Services, including via peer-to-peer data exchange or any like capability.
• Accessing other digital content via the Services.
• Other like data exchange interactions.

2. Registration and Account Security

• You will not provide false personal information on Plada or create an account for anyone other than you and your family.
• If we disable your Plada account, you will not create another one without our permission.
• You will keep your contact information accurate and up-to-date.
• You will not share login information, allow anyone other than you or your spouse or partner to access your Plada account, or do anything that could compromise the security of the account.
• You will not transfer your account to anyone.
• If you choose a username or similar identifier for your Plada account that violates the law or someone else's rights, or includes any profanity, we reserve the right to remove it as necessary.

3. Changes to the Terms of Use

We may revise and update these Terms of Use from time to time in our sole discretion. All changes are effective immediately when we post them, and apply to all access to and use of the Website or Mobile App thereafter. However, any changes to the dispute resolution provisions set out in Governing Law and Jurisdiction will not apply to any disputes for which the parties have actual notice on or before the date the change is posted on the Website and/or Plada App.

Your continued use of the Services following the posting of revised Terms of Use means that you accept and agree to the changes.

4. Description of Plada

Plada is a parent-to-parent social networking app designed to help parents build a social circle for themselves and their children. Our vision is for every family to be a part of a community where your interests and backgrounds are aligned. Specifically tailored for parents, Plada offers a safe and secure space for interaction and forming new connections.

5. Use of the App

The account shall be run by the parents; this app is not for the child's use. Parents may share details of their children such as name, age, hobbies, special needs, etc. Parents shall be fully responsible for the safety of their children.

6. User Conduct

You agree to use Plada in a manner that is lawful and respectful of other users. You agree not to use our services to transmit any material that is obscene, offensive, abusive, or otherwise objectionable. You agree not to engage in any activity that could harm the app or any of its users.

7. Intellectual Property Rights

The Website/Plada Applications and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Plada, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

These Terms of Use permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Services.

If we provide desktop, mobile, or other applications for download, you may download a single copy to your computer or mobile device solely for your own personal, non-commercial use, provided you agree to be bound by our end user license agreement for such applications.

You must not:

• Modify copies of any materials from the Services.
• Use any illustrations, photographs, video or audio sequences, or any graphics separately from the accompanying text.
• Delete or alter any copyright, trademark, or other proprietary rights notices from copies of materials from this site.
• You must not access or use for any commercial purposes any part of any services or materials available through the Services.

8. License Granted

Plada provides Users with a non-exclusive license for personal, non-commercial usage of the Services. Any misuse, illegal usage, or actions inconsistent with the Terms of Use and the limited license granted by Plada are strictly forbidden and will result in the automatic termination of such license for the offending User(s) at Plada's sole discretion, without prior notice. Plada may, but is not obligated to, review, screen, and delete User data content for any reason, including if it violates these Terms of Use.

Users bear full responsibility for the data content submitted or transmitted through the Services and are responsible for backing up their data. Users may not independently sell, rent, lease, assign, distribute, copy, modify, or host any part of the Services. Users are strictly prohibited from engaging in any activities that involve adapting, merging, creating derivative works, disassembling, decompiling, reverse compiling, revealing source code, or reverse engineering any component of the Services.

9. User Contributions

The Services may contain message boards, chat rooms, profiles, forums, photo albums, and other interactive features (collectively, "Interactive Services") that allow users to post, submit, publish, display, or transmit to other users or other persons (hereinafter, "post") content or materials (collectively, "User Contributions") on or through the Services.

All User Contributions must comply with the Content Standards set out in these Terms of Use.

Any User Contribution you post to the site will be considered non-confidential and non-proprietary. By providing any User Contribution on the Services, you grant us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns the right to use, reproduce, modify, perform, display, distribute, and otherwise disclose to third parties any such material for any purpose.

You represent and warrant that:

• You own or control all rights in and to the User Contributions and have the right to grant the license granted above to us and our affiliates and service providers, and each of their and our respective licensees, successors, and assigns.
• All of your User Contributions do and will comply with these Terms of Use.
• You understand and acknowledge that you are responsible for any User Contributions you submit or contribute, and you, not Plada, have full responsibility for such content, including its legality, reliability, accuracy, and appropriateness.

We are not responsible or liable to any third party for the content or accuracy of any User Contributions posted by you or any other user of the Services.

10. Content Standards

These content standards apply to any and all User Contributions and use of Interactive Services. User Contributions must in their entirety comply with all applicable federal, state, local, and international laws and regulations. Without limiting the foregoing, User Contributions must not:

• Contain any material that is defamatory, obscene, indecent, abusive, offensive, harassing, violent, hateful, inflammatory, or otherwise objectionable.
• Promote sexually explicit or pornographic material, violence, or discrimination based on race, sex, religion, nationality, disability, sexual orientation, or age.
• Infringe any patent, trademark, trade secret, copyright, or other intellectual property or other rights of any other person.
• Violate the legal rights (including the rights of publicity and privacy) of others or contain any material that could give rise to any civil or criminal liability under applicable laws or regulations or that otherwise may be in conflict with these Terms of Use and our Privacy Policy.
• Be likely to deceive any person.
• Promote any illegal activity, or advocate, promote, or assist any unlawful act.
• Cause annoyance, inconvenience, or needless anxiety or be likely to upset, embarrass, alarm, or annoy any other person.
• Impersonate any person, or misrepresent your identity or affiliation with any person or organization.
• Involve commercial activities or sales, such as contests, sweepstakes, and other sales promotions, barter, or advertising.
• Give the impression that they emanate from or are endorsed by us or any other person or entity, if this is not the case.
• Contravene the provisions of the United Nations Convention on the Rights of Child.

11. Monitoring and Enforcement; Termination

We have the right to:

• Remove or refuse to post any User Contributions for any or no reason at our sole discretion.
• Take any action with respect to any User Contribution that we deem necessary or appropriate in our sole discretion, including if we believe that such User Contribution violates the Terms of Use, including the content standards, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Services or the public, or could create liability for Plada.
• Disclose your identity or other information about you to any third party who claims that material posted by you violates their rights, including their intellectual property rights or their right to privacy.
• Take appropriate legal action, including without limitation, referral to law enforcement, for any illegal or unauthorized use of the Services.
• Terminate or suspend your access to all or part of the Services for any or no reason, including without limitation, any violation of these Terms of Use.

Without limiting the foregoing, we have the right to cooperate fully with any law enforcement authorities or court order requesting or directing us to disclose the identity or other information of anyone posting any materials on or through the Services. YOU WAIVE AND HOLD HARMLESS PLADA AND ITS AFFILIATES, LICENSEES, AND SERVICE PROVIDERS FROM ANY CLAIMS RESULTING FROM ANY ACTION TAKEN BY ANY OF THE FOREGOING PARTIES DURING, OR TAKEN AS A CONSEQUENCE OF, INVESTIGATIONS BY EITHER SUCH PARTIES OR LAW ENFORCEMENT AUTHORITIES.

However, we do not undertake to review all material before it is posted on the Services, and cannot ensure prompt removal of objectionable material after it has been posted. Accordingly, we assume no liability for any action or inaction regarding transmissions, communications, or content provided by any user or third party. We have no liability or responsibility to anyone for performance or nonperformance of the activities described in this section.

12. Disclaimer of Warranties

THE APPLICATION/SERVICE IS PROVIDED TO END USER "AS IS" AND WITH ALL FAULTS AND DEFECTS WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED UNDER APPLICABLE LAW, PLADA, ON ITS OWN BEHALF AND ON BEHALF OF ITS FOUNDERS, AFFILIATES AND ITS AND THEIR RESPECTIVE LICENSORS AND SERVICE PROVIDERS, EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE APPLICATION/SERVICES, INCLUDING ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND WARRANTIES THAT MAY ARISE OUT OF COURSE OF DEALING, COURSE OF PERFORMANCE, USAGE, OR TRADE PRACTICE. WITHOUT LIMITATION TO THE FOREGOING, PLADA PROVIDES NO WARRANTY OR UNDERTAKING, AND MAKES NO REPRESENTATION OF ANY KIND THAT THE APPLICATION WILL MEET YOUR REQUIREMENTS, ACHIEVE ANY INTENDED RESULTS, BE COMPATIBLE, OR WORK WITH ANY OTHER SOFTWARE, APPLICATIONS, SYSTEMS, OR SERVICES, OPERATE WITHOUT INTERRUPTION, MEET ANY PERFORMANCE OR RELIABILITY STANDARDS, OR BE ERROR-FREE, OR THAT ANY ERRORS OR DEFECTS CAN OR WILL BE CORRECTED.

SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF OR LIMITATIONS ON IMPLIED WARRANTIES OR THE LIMITATIONS ON THE APPLICABLE STATUTORY RIGHTS OF A CONSUMER, SO SOME OR ALL OF THE ABOVE EXCLUSIONS AND LIMITATIONS MAY NOT APPLY TO YOU.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL PLADA OR ITS AFFILIATES, OR ANY OF ITS OR THEIR RESPECTIVE LICENSORS OR SERVICE PROVIDERS, HAVE ANY LIABILITY ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APPLICATION/SERVICES OR THE CONTENT AND SERVICES FOR:

• PERSONAL INJURY, PROPERTY DAMAGE, LOST PROFITS, COST OF SUBSTITUTE GOODS OR SERVICES, LOSS OF DATA, LOSS OF GOODWILL, BUSINESS INTERRUPTION, COMPUTER FAILURE OR MALFUNCTION, OR ANY OTHER CONSEQUENTIAL, INCIDENTAL, INDIRECT, EXEMPLARY, SPECIAL, OR PUNITIVE DAMAGES.
• DIRECT DAMAGES IN AMOUNTS THAT IN THE AGGREGATE EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE APPLICATION/SERVICES.

THE FOREGOING LIMITATIONS WILL APPLY WHETHER SUCH DAMAGES ARISE OUT OF BREACH OF CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE AND REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE OR PLADA OR ITS FOUNDERS WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY SO SOME OR ALL OF THE ABOVE LIMITATIONS OF LIABILITY MAY NOT APPLY TO YOU.

14. Governing Law

This agreement shall be governed by, and construed in accordance, with the laws of the United Arab Emirates without regard to its conflict of laws principles. Users irrevocably agree that all actions or proceedings in any way, manner, or respect, arising out of or from or related to this agreement, and these Terms of Use, shall be litigated only in courts of the United Arab Emirates. Users hereby irrevocably consent and submit, without reservation, to the exclusive jurisdiction of any local, state or federal court located in the United Arab Emirates, and waive any right such User may have to transfer the venue of any such action or litigation.

Plada is a family matchmaking app designed to help families build a social circle for their little ones. We matchmake families based on a number of factors such as special needs, interests, etc. Our vision is for every child to have a friend and for every family to be a part of a community. Specifically tailored for families, Plada offers a safe and secure space which enables families to interact. This Policy outlines how we obtain, gather, and utilize information related to our website (the "Site") and Plada software ("Plada" or "Software" or "(Mobile) App"), both of which fall under the category of "Services."

This Policy is applicable to anyone who uses the Service. By accessing the Website, using the Apps, or engaging with the Service, you acknowledge and accept that your information will be collected, used, and shared in accordance with this Policy. To ensure clarity in terminology, when we use the term "Personal Information" in this Privacy Policy, we are referring to information that can be associated with you or could reasonably be linked to you, such as your name, email address, or mobile number.

We strive to provide you with choices regarding the personal information you provide to us. This section describes mechanisms we provide for you to control certain uses and disclosures over your information.

• Tracking Technologies. You may set your browser to refuse all or some browser cookies, or to alert you when cookies are being sent. If you disable or refuse cookies or block the use of other tracking technologies, some parts of the App/Services may then be inaccessible or not function properly.
• Location Information. You can choose whether or not to allow the App/Services to collect and use real-time information about your device's location. If you block the use of location information, some parts of the App/Services may become inaccessible or not function properly.
• Promotion by Plada. If you do not want us to use your email address to promote our own or third parties' products or services, you can opt-out by emailing us at support@plada.app. You can also always opt-out by logging into the App/Services and adjusting your user preferences in your account profile by checking or unchecking the relevant boxes or by sending us an email stating your request.
• Targeted Advertising by Plada. If you do not want us to use information that we collect or that you provide to us to deliver advertisements according to our advertisers' target-audience preferences, you can opt-out by emailing us at support@plada.app. You may adjust your user advertising preferences in your account profile by checking or unchecking the relevant boxes, if any, or by sending us an email stating your request to support@plada.app.

We do not control third parties' collection or use of your information to serve interest-based advertising. However, these third parties may provide you with ways to choose not to have your information collected or used in this way. You can opt out of receiving targeted ads from members.

Interaction with Children

Plada is dedicated to safeguarding children's online privacy through its Services and other means. We ask for and anticipate the cooperation of adult Users in supporting the Plada's commitment to this matter.

CCPA and GDPR

The California Consumer Privacy Act (CCPA) and the General Data Protection Regulation (GDPR) grant specific rights to individuals in California and the European Union, respectively. We extend these rights to all our users. To inquire about these rights, you can reach us by:
